Governance and Due Diligence Services

Corporate Governance relates to the accountabilities and responsibilities of the senior management in the performance of their duties. Following recent well-publicised events, Directors' responsibilities and Governance requirements have been extended to encompass the ever-widening areas of their businesses. It is anticipated that this is a trend that will continue into the foreseeable future.

All firms must consider the set of principles, systems, processes and policies set in place to protect and manage organisational resources. Boards accept, adopt and support governance policies and processes to ensure that organisational goals are met and to ensure that they are controlled by tight policies to ensure compliance with the regulations and best practice at all times. The policies and processes act as a measure of the Board's performance and identify areas where the Board is responsible and accountable for its actions or decisions. Corporate Governance also incorporates 'best practice' principles which are compliant and conformant with current industry standards.

With the increasing Governance and Due Diligence requirements being placed on firms, fund managers and investors, we are able to help clients with an independent review of their current arrangements to report if they meet the relevant standards expected of them.

Complyport's experienced professional staff will conduct an audit of existing Corporate Governance arrangements and we are able to provide investors with various levels of Corporate Governance or Due Diligence reviews.

For example, we can assess firms on:

  • whether the requirements of the Hedge Fund Standards Board are being met;
  • whether the firm or investment meets the requirements of the Alternative Investment Manager Association guidelines;
  • what kind of a response the firm may get if they are the recipients of an FSA ARROW-style visit;
  • a review of the Governance arrangements, operating and compliance policy and procedure documentation; or
  • a combination of the above.

Similar to our current compliance consulting, our services can be provided on an ad-hoc basis, or we can arrange regular 'audits' of a client's ongoing governance structure. We can also provide much needed director training in this vitally important area.
